Mortgage brokers and non-bank originators
Mortgage brokers take home loan applications and place them with wholesale lenders for a per-loan fee. Non-bank originators also take applications but underwrite and fund the loans themselves, then sell them and often keep the servicing rights.

Not a fitThere are many small firms, but broker revenue is per-loan, swings hard with rates, and leaves with the loan officers, so a classic buy-and-build has little durable revenue to buy.
- Fragmentation
- High
- Thousands of small licensed shops exist, even though loan volume is concentrated in a few dozen large lenders.
- Universe from a public registry
- High
- NMLS Consumer Access lists every licensed mortgage company and loan originator, and HMDA adds volume for lenders.
- Recurring revenue
- Low
- Brokers earn a one-time fee per closed loan and keep no servicing income, so revenue tracks rate-driven volume.
- Change-of-control friction
- Medium
- Each licensing state reviews a change of control before closing, but brokers avoid the agency approvals that lenders need.
- AI operating leverage
- Medium
- File processing is rule-heavy and automatable, but wholesale lenders give brokers the same tools, so savings may not stay with the acquirer.
Our view. For change-of-control friction, High means harder to close.
Universe
Registry
NMLS Consumer Access. Lists every state-licensed or federally registered mortgage company, branch and loan originator with license status by state. It shows no loan volume or financials. HMDA data on the FFIEC platform adds loan-level volume for lenders above the reporting threshold, but pure brokers do not file HMDA because they do not make the credit decision.
In 2025, more than 34,700 companies held a state license through NMLS, but that count spans all nonbank financial activities, not only mortgage. State-licensed mortgage companies originated 61% of US mortgage originations that year.

An NMLS mortgage industry report counted 18,253 state-licensed mortgage companies as of December 31, 2019.

For 2024, 4,758 companies reported lending under HMDA, and 770 of them were independent mortgage banks. Those independent mortgage banks originated 67.5% of all loans in MBA's analysis.

Diligence risks
MBA expects originations to fall 5% in 2027 to $1.99 trillion, with the 30-year rate above 7%. It sees unit volume near 5 million loans for the next three years, about a third of the peak near 14 million.
Loan officers hold their own licenses and can move to a rival shop quickly, taking their referral sources with them. An acquirer buys little that stays unless earnouts and equity tie producers to the platform.
Our view
Fragmentation
In 2025 HMDA data, the top five lenders held just over 20% of loan count and volume. Only 47 lenders, about 1% of all institutions, made half of total mortgage volume.

At the end of 2019, the average state-licensed mortgage company sponsored 8.4 loan originators, according to NMLS.

Producing loan officers at brokerages rose 12.5% to 56,803 in 2025, based on RETR data. Brokers are still the smallest group of producing loan officers.

Revenue model
Federal rules bar paying a loan originator based on a term of the loan, such as the rate. A broker paid directly by the borrower cannot also take compensation from the lender on the same loan.
Revenue is earned per closed loan, so it follows rate-driven volume. The CFPB found that origination volume in 2023 was only about 37.9 percent of its recent peak in 2021.
In the second quarter of 2026, lenders in MBA's sample earned an average pre-tax production profit of 25 basis points. The quarterly average since 2008 is 39 basis points. These figures cover independent mortgage banks, not pure brokers.

In 2023, MBA's Annual Mortgage Bankers Performance Report showed independent mortgage banks and mortgage subsidiaries of chartered banks lost an average of $1,056 on each loan originated, the highest loss in the report's 15-year history.

Change of control
In Indiana, no one may acquire control of a mortgage lending licensee unless the state has approved an application first. Control includes voting at least 25% of the voting securities, and the state has up to 120 days to approve.

Indiana mortgage licenses are not transferable. Indiana mortgage licensees file the change through an Advance Change Notice in NMLS.

A multi-state firm must clear a change-of-control review in each licensing state, so the slowest state sets the closing date. Lenders also face agency approvals, while pure brokers mostly face state licensing alone.

Who is consolidating
STRATMOR counted 38 completed mortgage M&A transactions in each of 2022 and 2023. It expected the following year to come in at less than half that pace.
Where AI changes the cost base
Production expenses in MBA's sample averaged $10,936 per loan in the second quarter of 2026. That figure covers commissions, compensation, occupancy, equipment and corporate allocations.

Most broker labor sits in loan officers paid per closed loan and in processors who collect and check borrower files. Document intake, income math, disclosure timing and condition clearing follow written rules and suit automation.
Our view
Wholesale lenders build these tools and hand them to brokers for free. A broker rollup may see the savings competed away in pricing rather than kept as margin.
