Independent insurance agencies and retail brokers
Independent agencies and retail brokers sell property and casualty insurance and employee benefits from many insurers to businesses and households. They are paid mainly by commissions from insurers and service the policies through each renewal.

CrowdedPE-backed platforms do most of the deals, prices are near record highs, and deal volume is falling as large platforms turn to exits, so a new rollup would pay full prices against well-funded buyers.
- Fragmentation
- High
- Tens of thousands of small, owner-run agencies remain, even after a decade of heavy buying.
- Universe from a public registry
- Medium
- NIPR and state lookups list every licensed agency, but they do not flag independents, show size, or come free in bulk.
- Recurring revenue
- High
- Commission renews with each policy term, though it rises and falls with premium rates.
- Change-of-control friction
- Low
- A sale needs license updates and carrier appointment changes rather than insurer-style approvals, so the main friction is keeping producers.
- AI operating leverage
- Medium
- Service work is document-heavy and rule-based, but larger brokers are already investing in AI and AI may pressure personal lines revenue.
Our view. For change-of-control friction, High means harder to close.

NIPR Producer Database (PDB), with state insurance department license lookups. Licensed individual producers and business entity (agency) producers in all states, DC and territories, with license lines, status and carrier appointments. It does not separate independent agencies from captive agents, carrier-owned agencies or direct writers, and has no revenue or ownership data. Bulk access needs a paid NIPR subscription, and one agency can hold a separate license in every state.
The Big I and Future One estimated 37,000 independent insurance agencies in the US in 2026, down from 39,000 in 2024.

Based on 2025 data, the independent agency channel placed 62% of all P&C insurance written in the US.
The Big I count covers P&C agencies only. We found no free public count of standalone employee benefits brokers.

Diligence risks
Prices are high. A Reagan Consulting partner said guaranteed EBITDA multiples between 2023 and 2025 ran from just under 10x for smaller deals to about 15x for the largest.

Organic growth is slowing as the P&C market softens. Reagan Consulting found average organic growth fell from 11.2% in the second quarter of 2023 to 7.1% in the fourth quarter of 2025.

OPTIS expects more recapitalizations and large transactions as PE-backed platforms bought between 2019 and 2021 reach or pass typical hold periods.

Fragmentation
Agencies in the 2026 Big I study averaged 9.9 staff across all positions, up from 8.2 in 2024.

OPTIS Partners data show the top 10% of buyers now account for 55% of completed deals, up from 46% in 2021.

The seller base is a long tail of small, owner-run agencies. We could not find a free source that gives the revenue share held by the largest brokers.

Revenue model
Big I and Reagan Consulting reported in 2026 that Best Practices agencies, a group of top performers, had pro forma EBITDA margins of 23.2% to 30.7% across revenue bands.

Revenue recurs as policies renew each year, so a book of business behaves like a subscription. Commission still moves with premium rates, so a softening market cuts revenue even when no clients leave.

Change of control
Under the NAIC Producer Licensing Model Act, an agency that acts as a producer must hold its own business entity license. The model includes an optional provision requiring the entity to designate a licensed producer responsible for its compliance.
Source: National Association of Insurance Commissioners, Jan 2005
A producer cannot act for an insurer until that insurer appoints it. The insurer files the appointment with the state.

Buying an agency does not trigger a Form A filing, which applies to control of insurers. The buyer updates entity licenses and responsible producers in each state and gets carrier consent where agency contracts require it.
Our view
Most carriers keep their agency contracts in place after a sale, so regulatory friction is low. The real transfer risk is keeping producers and clients through the transition.
Our view
Who is consolidating
OPTIS Partners found that PE-backed and hybrid buyers were involved in 76% of US and Canadian agency deals in the first three quarters of 2026.

Where AI changes the cost base
In the 2026 Big I study, 46% of agencies reported using AI, up from 15% in 2024. Common uses were coverage form analysis at 43% and contract reviews at 35%.

Reagan Consulting found that 11.5% of firms under $1.25 million in revenue invested in AI in 2025, compared with 84.2% of brokers over $100 million.

Most service labor sits with account managers and customer service staff. Submissions, quote comparison, policy checking, certificates, endorsements, renewal remarketing and benefits enrollment are document-heavy and follow carrier rules, so they suit automation.
